Terms of Service

These Terms of Service ("Terms") are a legal agreement between Sasi ENT LLC d/b/a Taxo Media ("TaxoVoice", "we", "us", "our") and the person or entity that accesses or uses our website at taxovoice.com (the "Site") or our AI voice‑agent products and services (the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms.

1) Eligibility; Accounts
You must be at least 18 and have authority to bind your organization to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
2) Orders; Subscriptions; Trials
Orders may be placed via online checkout, order form, or proposal. Unless otherwise stated, subscriptions auto‑renew for the same term (e.g., monthly) until canceled. Trials are provided "as is" and may be modified, limited, or terminated at any time.
3) Fees; Billing; Taxes; Refunds
- Billing: Fees are billed in advance via Stripe (or as otherwise agreed). You authorize us and our payment processor to charge your payment method for all fees and applicable taxes.
- Changes: We may change fees upon renewal or with reasonable notice for month‑to‑month plans.
- Late/failed payments: We may suspend or terminate Services for non‑payment.
- Refunds: Unless required by law or expressly stated, fees are non‑refundable and we do not provide credits for partial billing periods.
- Taxes: You are responsible for all applicable taxes, duties, and government charges (excluding our income tax).
4) Customer Responsibilities
- Provide accurate business information, hours, scripts, and configurations necessary to operate your voice agent.
- Maintain control of your phone numbers and caller lists and use the Services in compliance with all laws and industry standards (including TCPA/CTIA where applicable).
- Review, supervise, and validate AI outputs before taking action where appropriate; maintain human oversight for high‑risk decisions.
5) Acceptable Use
You may not, and may not allow others to: (a) use the Services for unlawful, harmful, or deceptive activities; (b) transmit spam, spoofed caller ID, or unauthorized robocalls; (c) probe or breach security; (d) reverse engineer or copy the Services except as permitted by law; (e) use the Services for life‑critical or emergency communications (e.g., 911) or where errors could cause death, personal injury, or significant property damage; (f) upload content that infringes others’ rights.
6) Telephony, Recording & Consent
- Consent: You are solely responsible for obtaining and documenting all required consents and notices for call recording/monitoring and for automated or prerecorded communications.
- Compliance: You will comply with applicable laws and standards, including call recording laws, TCPA, state telemarketing laws, and carrier/CTIA messaging policies.
- Scripts: You control the prompts and content used by your agent. You will ensure your prompts are truthful, not misleading, and appropriate for your industry.
7) Integrations & Third‑Party Services
The Services may integrate with third‑party platforms (e.g., HighLevel/GoHighLevel for telephony/CRM/booking, YouTube for video, Stripe for payments). Your use of third‑party services is governed by their terms and policies. We are not responsible for third‑party services and may enable, disable, or change integrations at any time.
8) Customer Data; Privacy; Security
- Customer Data: You retain ownership of data you provide or that is collected on your behalf (e.g., call audio, transcripts, caller information). You grant us a non‑exclusive license to process Customer Data to provide the Services and as otherwise permitted in our Privacy Policy.
- Privacy: Our collection and use of personal information is described in the Privacy Policy. Where required, a Data Processing Addendum is available upon request at santi@taxo.media.
- Security: We implement reasonable administrative, technical, and physical safeguards. You are responsible for securing your accounts, devices, and third‑party integrations.
9) Intellectual Property; Feedback
- Our IP: We and our licensors own all rights in the Site, Services, software, and associated materials. No rights are granted except as expressly set out in these Terms.
- Your materials: You grant us a limited license to use your name, logo, and marks to identify you as a customer (e.g., in lists or case studies). You may opt out by emailing santi@taxo.media.
- Feedback: If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use it without restriction.
10) Availability; Support; Beta Features
- Availability: We aim for reliable operation but do not guarantee uninterrupted access. Maintenance, outages, or third‑party issues may affect availability.
- Support: Standard support is via email at santi@taxo.media.
- Beta/Preview: We may offer beta features; they are provided "as is", may change, and may be discontinued without notice.
11) Disclaimer of Warranties
To the fullest extent permitted by law, the Site and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non‑infringement. AI‑generated outputs may be inaccurate or incomplete; you are responsible for reviewing outputs and exercising appropriate caution.
12) Limitation of Liability
To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business interruption. Our aggregate liability for all claims arising out of or related to the Site or Services will not exceed the amounts paid by you to us for the Services in the twelve (12) months immediately preceding the event giving rise to liability.
13) Indemnification
You will defend, indemnify, and hold harmless TaxoVoice and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your content, prompts, or configurations; (c) your violation of these Terms or applicable law; or (d) your communications and interactions with End Callers.
14) Term; Termination
These Terms begin when you first access the Site or Services and continue until terminated. You may cancel a subscription at any time (effective at the end of the then‑current billing period unless otherwise stated). We may suspend or terminate for material breach or for cause (e.g., legal risk, fraud, security issues, non‑payment). Upon termination, your right to access the Services ceases, and we may delete or deactivate your account data per our retention practices.
15) Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflict‑of‑law rules. The exclusive venue for any action arising out of or related to these Terms will be the state or federal courts located in Ventura County, California, and you consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16) Changes to Terms
We may update these Terms from time to time. Material changes will be posted on the Site with a new effective date. Your continued use of the Site or Services after the effective date constitutes acceptance of the updated Terms.
17) General
- Order of precedence: If there is a conflict between these Terms and an order form or separate written agreement signed by both parties, that document controls.
- Assignment: You may not assign these Terms without our written consent; we may assign to an affiliate or in connection with a merger or sale.
- Notices: We may provide notices via email or through the Services. You will provide legal notices to santi@taxo.media.
- Severability; waiver: If a provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver.
- Entire agreement: These Terms, together with any order forms and policies referenced (e.g., the Privacy Policy), constitute the entire agreement regarding the Services.
